ProDIY Terms of Service

These Terms of Service ("Terms") govern your use of the ProDIY iOS app and related services (collectively, the "App"), operated by ProDIY ("ProDIY," "we," "our," or "us"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

We've kept this document plain-language on purpose. Where a section is legally important, we've kept the legal phrasing. If anything is unclear, write to us at privacy@prodiy.ai.

1. Acceptance of these Terms

By creating an account, signing in, or otherwise using the App, you confirm that you (a) have read and understood these Terms, (b) accept them in full, and (c) meet the eligibility requirements in §3. These Terms form a binding agreement between you and ProDIY. They incorporate by reference our Privacy Policy, which describes what we collect and how it is processed.

2. What ProDIY is — and is not

ProDIY is an AI-powered home-repair coach. You describe a problem at home — by photo, text, or both — and the App returns a diagnosis, a parts list, and step-by-step guidance produced by third-party AI services (see §9).

3. Eligibility

You may use the App only if all of the following are true:

• You are at least 17 years old (or the legal age of majority in your jurisdiction, whichever is higher).
• You can form a legally binding contract with ProDIY under applicable law.
• You have not been previously banned from the App by us.
• You are not located in, ordinarily resident in, or a national or government of any country, region, or jurisdiction subject to comprehensive sanctions by the United States.

If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Your account

To use most features of the App you will create an account, either with an email and password or by using Sign in with Apple. You agree to:

• provide accurate, current information when creating your account,
• keep your login credentials confidential and not share them,
• be responsible for all activity that occurs under your account,
• notify us promptly at privacy@prodiy.ai if you suspect unauthorized access.

You may delete your account at any time from the in-app Settings screen. Deletion removes your personally identifying account data per our Privacy Policy retention rules. Some content (e.g., anonymized diagnoses contributed to model improvement, where you consented) may persist in de-identified form as described in the Privacy Policy.

5. Acceptable use

When you use the App, you agree NOT to:

• use the App for any unlawful purpose or in violation of any applicable law or regulation;
• upload content that infringes someone else's intellectual property, privacy, or other rights;
• upload content that depicts a minor in any sexual context, or that depicts violence, abuse, or graphic harm against any person;
• attempt to reverse-engineer, decompile, or extract the source code of the App, except to the extent expressly permitted by applicable law that cannot be waived;
• probe, scan, or test the vulnerability of the App or any related infrastructure without prior written permission;
• interfere with or disrupt the integrity, performance, or availability of the App or its underlying services;
• use any automated tool (bot, scraper, crawler) to access the App or generate volumetric requests;
• resell, redistribute, sublicense, or commercially exploit the App or any AI output you receive, except for your own personal home-repair work;
• use the App to generate content intended to deceive, defraud, or harm any person.

Violation of this section may result in immediate account termination under §13 and, where appropriate, referral to law enforcement.

6. AI-generated content

The diagnoses, recommendations, parts lists, and instructions returned by the App ("AI Output") are produced by large language models operated by third-party AI providers (see §9). AI Output is generated probabilistically and can be wrong, incomplete, out-of-date, biased, or unsafe.

We do not warrant that AI Output is accurate, complete, suitable for your specific situation, or compliant with any local code. ProDIY makes no representation that following AI Output will achieve any particular result.

Subject to §5 and §7, you may use AI Output for your own personal home-repair purposes. You may not republish or commercially redistribute AI Output as if it were your own professional advice.

7. Your content

"Your Content" means anything you submit through the App — photos, text descriptions, notes, project details, ratings, feedback, and any other material you create or upload.

7.1 Ownership

You retain ownership of Your Content. We do not claim copyright in your photos or notes.

7.2 License you grant to ProDIY

To operate the App, you grant ProDIY a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content (and to permit our service providers — including AI providers and cloud-hosting providers — to do the same) solely for the purpose of:

• generating the diagnosis and recommendations you requested,
• storing your projects and history on your account so the App works across sessions and devices,
• improving the App's reliability and safety (including diagnosing bugs, only using anonymized or de-identified content where the Privacy Policy permits),
• complying with legal obligations and enforcing these Terms.

This license ends when you delete the specific item of Your Content from the App, or when you delete your account, except where retention is required by law or where you previously consented (under our Privacy Policy) to anonymized retention for product improvement.

7.3 Responsibility for Your Content

You represent that Your Content does not violate any third-party rights and that you have all necessary permissions to share it with ProDIY and our service providers. You are solely responsible for the legality and accuracy of Your Content.

8. ProDIY intellectual property

The App, including its software, design, branding, the "ProDIY" name and logo, the underlying prompt engineering, and the curated knowledge base, is owned by ProDIY and protected by copyright, trademark, and other intellectual-property laws. Nothing in these Terms grants you any right or license to ProDIY trademarks, trade dress, or other intellectual property except as expressly stated.

Subject to your compliance with these Terms, ProDIY grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App for your own non-commercial home-repair purposes. All rights not expressly granted to you are reserved by ProDIY.

9. Third-party services

The App relies on third-party services to function. Your use of the App is also subject to the terms and privacy policies of those services, which we summarize in our Privacy Policy §11. Notable providers include:

• Anthropic Claude and Google Gemini — generate diagnoses and recommendations from Your Content.
• Supabase — hosts the App's database, your account credentials (via Supabase Auth), and your uploaded photos (encrypted at rest, access-controlled).
• Fly.io — hosts the App's backend application servers.
• Apple App Store / iOS / Sign in with Apple — distribution, platform services, and federated identity.
• Sentry — anonymized crash and error telemetry (no Your Content sent).
• Amazon Associates — affiliate links from recommended parts; see §10.

ProDIY is not responsible for the acts, omissions, or content of any third-party service. If a third-party service changes its terms in a way that prevents the App from operating, we will update the App or these Terms accordingly.

10. Affiliate links

ProDIY participates in the Amazon Associates Program. As an Amazon Associate, ProDIY earns from qualifying purchases. Affiliate links are limited to the parts and tools the AI recommends; they do not change what you see, what is suggested, or the price you pay. You can search Amazon directly without using the in-app link if you prefer.

Tapping an affiliate link sends only the search query that was already visible on screen. We do not share your photos, notes, diagnosis content, or any other in-app data with Amazon. Once you arrive on Amazon, Amazon's own terms and privacy policy apply.

11. Disclaimers

THE APP AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRODIY DISCLAIMS ALL WARRANTIES, INCLUDING (WITHOUT LIMITATION) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND THAT THE APP WILL OPERATE UNINTERRUPTED OR ERROR-FREE.

Without limiting the above, ProDIY does not warrant that AI Output is accurate, complete, current, or suitable for your situation, that the App will be compatible with your device, that defects will be corrected, or that the App or its underlying servers are free of viruses or other harmful components.

12. Limitation of liability and indemnification

12.1 Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PRODIY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATING TO (A) YOUR USE OF OR INABILITY TO USE THE APP, (B) ANY AI OUTPUT, INCLUDING PHYSICAL INJURY OR PROPERTY DAMAGE RESULTING FROM ACTING ON AI OUTPUT, (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, OR (D) ANY THIRD-PARTY CONDUCT OR CONTENT ON THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PRODIY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, PRODIY'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID PRODIY IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not fully apply to you. In those jurisdictions, ProDIY's liability is limited to the smallest extent permitted by applicable law.

12.2 Indemnification

You agree to defend, indemnify, and hold harmless ProDIY and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the App, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party right.

13. Termination

You may stop using the App at any time and may delete your account from the in-app Settings screen. We may suspend or terminate your access to the App, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if continued operation poses a security, legal, or reputational risk to ProDIY or its users.

Sections that by their nature should survive termination — including §6 (AI-generated content), §7.2 (license you grant), §8 (intellectual property), §11 (disclaimers), §12 (limitation of liability and indemnification), §14 (governing law), and this §13 — will survive any termination of these Terms.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of California, U.S.A., without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before initiating any formal proceeding, the parties agree to first attempt to resolve the dispute through good-faith negotiation by email. If the dispute is not resolved within thirty (30) days of written notice, either party may bring a claim in the state or federal courts located in San Francisco County, California, and both parties consent to the exclusive jurisdiction and venue of those courts. The prevailing party in any such action is entitled to recover its reasonable attorneys' fees and costs to the extent permitted by law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief at any time from any court of competent jurisdiction to protect its intellectual-property rights.

15. Miscellaneous

15.1 Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the latest version became effective. For material changes that affect your rights or obligations, we will surface an in-app notice the next time you open the App. Your continued use of the App after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the App.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be reformed to the minimum extent necessary to make it enforceable while preserving the parties' original intent.

15.3 No waiver

ProDIY's failure to enforce any right or provision of these Terms is not a waiver of that right or provision. No waiver is effective unless in writing and signed by an authorized representative of ProDIY.

15.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without ProDIY's prior written consent. ProDIY may assign these Terms in whole or in part, without restriction.

15.5 Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ProDIY regarding the App and supersede all prior or contemporaneous agreements, communications, and proposals on this subject.

We respond to inquiries via email. If postal correspondence is required for a legal matter, contact privacy@prodiy.ai first and we will arrange a delivery method.

This document is the current operating Terms of Service for ProDIY. A more comprehensive version, prepared with the assistance of legal counsel, is planned for the Premium release later in 2026.
